Ms. Penabad’s practice encompasses a wide variety of commercial matters, including complex commercial litigation, real estate acquisitions, financing transactions, real estate disputes, landlord/tenant disputes, development and leasing. Ms. Penabad represents companies as creditors, debtors or equity holders in complex Chapter 11 reorganizations, assignment for the benefit of creditors and out-of-court workout settlements. Ms. Penabad has represented clients in mergers and acquisitions and has represented national and international clients regarding matters under the Perishable Agricultural Commodities Act (“PACA”).

Ms. Penabad currently serves as general counsel for an international produce conglomerate whose United States headquarters are in Florida. She also served as outside general counsel for Leviev Boymelgreen Developers. She assisted Leviev Boymelgreen in a complex transition and turnaround of its Miami portfolio with assets exceeding $700 million. As counsel for Leviev Boymelgreen, she represented the business in acquiring a portion of its portfolio and refinancing the company’s Miami portfolio totaling more than $400 million in acquisition and construction financing. She also assisted the company in all aspects of its daily business, including governmental relations. Her work for Leviev Boymelgren resulted in her being awarded the 2007 “Top Real Estate Deal Maker - Real Estate Finance” in Miami-Dade County.

Ms. Penabad also has represented lenders and financial institutions in providing acquisition, development and construction financing. Ms. Penabad is an approved agent for several nationally recognized title insurance companies. This enables her to assist her clients with the entire process of closing real estate transactions from negotiating the letter of intent through the due diligence, closing and procurement of the title insurance policy.

Ms. Penabad has been involved in some of South Florida’s most high-profile lawsuits. She successfully litigated a $500 million fraudulent conveyance case and intricate tax-shelter matter in U.S. Bankruptcy Court. She also litigated a case involving the right to license and use telenovelas in Probate Court. She has extensive experience in litigating and recovery assets in ponzi scheme cases in Florida state and federal courts. Ms. Penabad was instrumental in helping a buyer in the bankruptcy acquisition of a high-profile cargo carrier. That company has remained a premier cargo carrier operating in Miami and Latin America. Ms. Penabad also has helped debtors through Chapter 11 filings, including developing successful new-business plans.
